1.2 Our Services

TribeWin (TW) is the brand of the services provided by the Foundation, a private platform for the TribeWin community established under the laws of Costa Rica. Its services are accessible via the website www.tribewin.com. TW functions as a platform where Account Holders can play games, earn money, and trade LPs. All benefits are based on transactions provided by the service; TW does not pay compensation based on headcount. Certain LP‑related features, including the Loyalty Program distributions and the aftermarket, are available only to Tribe Builders and are governed by separate Tribe Builder Terms.

1.3 Eligibility

By using the Services, you confirm that you are at least 18 years old or of sufficient age to participate in the TW and are a natural person with full civil capacity of conduct under the laws of your country. You also confirm that you are not a compulsive problem gambler or included in any register of excluded Account Holders. Additionally, you confirm that you are not a resident of a Restricted Country and that all information you submit is accurate and truthful.

1.4 Restricted Countries

Account Holders with citizenship, permanent residency, or tax residency in Costa Rica, the Democratic People’s Republic of Korea, or the USA are prohibited from using TW’s Services. TW is not liable for any use of our Services by restricted individuals. Account Holders who violate applicable laws are solely liable. Our Website may be restricted or unavailable in other jurisdictions as per applicable laws. TW is not responsible for unavailability in any Restricted Country or elsewhere.

1.5 Account Registration

To use our Services, create an account on the Website and provide accurate contact details. You’re responsible for your account’s security and keeping your Account Holder ID and password confidential. You’re solely responsible for your actions and their consequences in and with Services. Your participation is voluntary and based on your own judgement. You confirm you’re permitted to participate in the TW and legally acquire and receive funds through it. No consent, approval, order, or authorisation from any government authority is required. You only use lawfully acquired funds within TW for its services and don’t participate for money-laundering, terrorism financing, or other illicit purposes. You aim to use the services for your own benefit and aren’t acting as a nominee or agent for anyone else. All your representations and warranties made at registration are true, complete, accurate, and non-misleading. TW reserves the right to reject and invalidate your registration if you make a false representation. An individual applying for a TW Account agrees to all definitions and conditions as stated in the TW Rules, as published on the website, and any future changes. The contract is governed by the TW Rules in English, any regulatory provisions or decisions made by the Governing Authorities, and the Governing Law of the place of the contract.

1.6 Membership

Maintaining an account on TW is free of charge but is subject to the Inactive Account rule. TW’s sole purpose is to enable a fair way to win money based on an innovative winning distribution model. Certain additional features, including any Tribe Reward Program or Loyalty Program, are available only to Tribe Builders under separate Tribe Builder Terms. Purchased game tickets are non‑refundable and non‑transferable.

1.7 Management of the TW Account

TW reserves the right to: refuse to open, close or operate any TW Account or accept deposits at its discretion, subject to applicable law without explanation; request documents to verify the account holder’s identity; authorise the use of a specific wallet or other information provided by the account holder; suspend an account pending investigation; transfer and/or licence Personal Data to any legal and licensed entity in any country, ultimately managed and controlled by TW, subject to TW guaranteeing compliance with applicable laws, data protection acts, or similar; transfer and/or licence the rights and liabilities of an account holder to any legal and licensed entity in any country, ultimately managed and controlled by TW, subject to TW guaranteeing the liabilities are honoured; hold and manage Funds belonging to account holders in accordance with generally accepted guidelines for cash management, which may include a Financial Institution or Payment Service Provider being entrusted to hold funds in the name of and/or for the benefit of account holders; forfeit and/or confiscate funds available on a TW Account and/or refuse to honour a claim if the TW Rules have been violated or unauthorised activities have occurred in connection with a betting event or the operation of a TW Account (such as a breach of the law or regulations, a breach of third parties’ rights, fraud and cheating); suspend and/or cancel the participation of an account holder in games, promotional activities, competitions, or other services if there are legitimate concerns that a TW Account is, has been, or may be used for illegal, fraudulent, or dishonest practices. TW may suspend or cancel an Account Holder’s participation in the Services and/or forfeit funds on their TW Account if they’re found cheating or using a system (including a machine). A TW Account is designed to defeat the Client Application and/or Software.

The TW manages funds securely and pays the Gaming and Betting Duty at the Place of the Contract. It also manages Personal Data in accordance with applicable laws and data protection acts. The TW won’t offer contingencies for fund transfers between customers’ accounts.

A TW Account doesn’t accrue interest. Account Holders shouldn’t treat the TW as a financial institution.

A TW Account is non-transferable. Account Holders can’t sell, transfer, or acquire accounts. Funds can’t be transferred between TW Accounts.

Account Holders can’t allow anyone, including minors, to use or reuse their TW Account, access the Website, accept prizes, or participate in the Services.

1.8 Responsible gaming - Account settings

Account holders can set limits on their wagers within a certain period, depending on their country.

They can change or revoke these limits in the TW account settings through support. Changing the limit may take several days after TW registers the change. TW won’t accept wagers against the account holder’s limits or exclusions.

If TW thinks an account holder’s gambling will cause financial or personal problems, it can close their TW account. TW will contact the account holder by email at least two days before closure, using the email address provided in the account settings.

Gambling can be addictive. If an account holder needs help, they should seek assistance from their condition by searching responsible gaming websites or contacting TW support.

1.9 Inactive accounts

An inactive account is a TW account with no transaction history for over 14 months.

TW reserves the right to charge a monthly administrative fee of USDT/C 50.00 for inactive accounts. This fee will be deducted from the account’s funds at the beginning of each month after the account becomes inactive.

TW can close an inactive account when it reaches zero balance. Account holders with inactive accounts for 12 months will be notified by email within 30 days before any fees are charged. They can reactivate their accounts by logging in, logging out, or withdrawing their funds within 30 days of the email date without incurring any fees.

1.10 Closure of a TW Account

An account holder can close their TW account by emailing TW’s Customer Support. Funds will be returned to the account holder. Transaction charges may apply based on the payment method used by TW at the time.

TW will honour any obligations entered into when an account is closed.

Account holders can recover funds from a closed, locked, or excluded account by contacting Customer Support.

If a TW account is closed due to gambling addiction or fraud, the individual cannot open a new account. The operator is not liable if the individual opens a new account or for any damages. The operator can close an account opened in breach of this rule at any time.

1.11 Identity Verification

You agree to provide us with the information we need for identity verification and detecting money laundering, terrorist financing, fraud, or other financial crimes. We may keep this information as long as it’s necessary by law. We may ask you to complete our identity verification process and submit more identification documents to TW for better due diligence. Not completing identity verification will be a breach of these Terms and may stop you from using our Services.

1.12 Game rules

1.12.1 Placing bets

In the TW Games, Account Holders may place bets on the Main Draw results. In TribeRow 12+, a bet is placed by selecting seven numbers between 1 and 12 to form a Line for seven consecutive daily draws. Bets may only be placed on the relevant draw outcome through the TW website by eligible registered Account Holders. No physical tickets are issued. Bets are paid from the Account Holder’s Cash Account, which may be topped up by making deposits into the Account Holder’s TW Account using the available payment methods.

1.12.2 TW’s rights

TW may verify an Account Holder’s identity at any time. If the required documents are not provided, the relevant account may be closed and all bets suspended until the Account Holder provides the requested documents to TW.

1.12.3 TW’s Main Draw

Account Holders wager on the outcomes of the Main Draw. The Game Operator uses a software-based random number generator (RNG) audited by an external auditor to ensure randomness and compliance with applicable requirements.

1.12.4 TribeDraw applicability

Tribe Draw functionality applies only to the TribeRow 12+ game. Any other games offered on the Platform, including instant games, are governed by their own separate game rules and do not include Tribe Draw unless expressly stated in the applicable game rules.

1.12.5 Tribe Draw

All TW Account Holders who place a valid bet on the Main Draw automatically participate in the Tribe Draw, provided that their Line is not a Main Draw winning Line in the relevant Main Draw. The Tribe Draw follows the relevant Main Draw.

In each Tribe Draw, ten eligible Lines are selected at random from among the Lines that participated in the relevant Main Draw but were not Main Draw winning Lines. Each selected Line receives the applicable fixed Tribe Draw Prize specified in the published Tribe Draw prize table for the relevant prize division.

A Line may be selected no more than once in any single Tribe Draw. Selection of a Line in one Tribe Draw does not prevent that same Line from being selected in another Tribe Draw conducted in connection with a different Main Draw win on the same day.

If multiple Main Draw wins occur, each Main Draw win triggers a separate Tribe Draw. The eligible Lines are assessed separately for each such Tribe Draw, and the same Line may be selected once in each separate Tribe Draw. Accordingly, a Line may receive more than one Tribe Draw Prize on the same day if it is selected in separate Tribe Draws relating to different Main Draw wins.

For the avoidance of doubt, a Line selected in one Tribe Draw is not selected again within that same Tribe Draw. However, that same Line remains eligible for selection in any additional Tribe Draw conducted for another Main Draw win, provided that it satisfies the eligibility requirements for that additional Tribe Draw.

Tribe Draw Prizes are separate from Main Draw Prizes. The amount of a Tribe Draw Prize is determined by the published Tribe Draw prize table and may differ from the corresponding Main Draw Prize. Tribe Draw Prizes are not calculated as, and do not automatically equal, the relevant Main Draw Prize.

Unless the applicable Game Rules expressly provide otherwise, each selected Tribe Draw Line receives the full published Tribe Draw Prize for the relevant division. Tribe Draw Prizes are not divided among selected Lines merely because more than one Line is selected.

The Game Operator provides the Tribe Draw using a software-based random number generator (RNG) audited by an external auditor to ensure randomness and compliance with applicable requirements.

1.12.6 Game Malfunctions

If a Game or Draw is materially affected, TW’s sole obligation in respect of the affected Game shall be, at its discretion, to:

  • (i) refund the affected Stakes to the Account Holder’s Cash Account; or
  • (ii) rerun the affected Game or an equivalent Game on fair and audited terms.

In no event shall the Foundation be liable for a malfunction in excess of the affected Stakes and any validated Prizes arising from a correctly functioning Game.

1.12.7 Winning in TW

An Account Holder who places a valid bet on a TW Game for the correct Draw and whose Line satisfies the winning condition for a prize division in accordance with the applicable Game Rules has placed a Winning Bet and is entitled to the corresponding Prize for the relevant division. After the Draw is completed and the results are verified through the audited random number generator and the Foundation’s internal systems, the Foundation will credit the applicable Prize to the winning Account Holder’s Cash Account, subject to these Terms, the applicable Game Rules, identity verification, and applicable law.

Unless the applicable Game Rules expressly provide otherwise, all published Prizes other than the Highest Prize are fixed prizes. A fixed prize is payable in full for each valid Winning Line that qualifies for the relevant prize division, regardless of the number of other winning Lines or Account Holders qualifying for the same prize division in the same Draw. Fixed prizes are not divided or reduced because other Account Holders or Lines also qualify for the same prize.

The Highest Prize is subject to Pari-Mutuel treatment. Only one total Highest Prize amount is available for the Highest Prize division in any single Draw. That total amount is divided equally among all valid Winning Lines that qualify for the Highest Prize division in that Draw. The Highest Prize is therefore not paid as a separate full amount to each qualifying Line or Account Holder.

A single Account Holder may hold more than one qualifying Line in the same Draw. However, each qualifying Line represents one equal share of the single total Highest Prize amount and does not create a separate full Highest Prize. If multiple qualifying Lines are held by the same Account Holder, including multiple Lines containing the same number combination, the single total Highest Prize amount will be divided equally among those qualifying Lines together with any other qualifying Lines in that Draw.

For the avoidance of doubt, if no Line qualifies for the Highest Prize division in a Draw, no Highest Prize is payable for that Draw unless the applicable Game Rules expressly provide for a rollover, accumulation, or other treatment. Any rollover, accumulation, or alternative treatment must be stated in the applicable Game Rules before the relevant Draw.

The Foundation is responsible for paying correctly validated Prizes to the relevant Account Holder’s Cash Account. For the Highest Prize and other prize divisions involving substantial amounts, payment processing, including result verification, identity checks, anti-money-laundering checks, and regulatory review, may take longer than ordinary prize payments.

After payment of the winnings, the Account Holder may withdraw funds from their account. Withdrawals are transferred only to the same payment method used for the initial deposit, and any request to transfer winnings to a different account is subject to additional identity verification. Withdrawals may be made only to the same verified person who is the Account Holder.

TW may verify the Account Holder’s identity when making a withdrawal or paying out a win. TW pays winnings only after the results are verified and each bet has been checked to ensure that it relates to the correct Draw date and qualifies under the applicable Game Rules.

Winners are notified individually through the internal messaging system on the TW Website. TW may also use email or another communication method to notify winners promptly after verification, but it is not obliged to do so.

1.12.8 TribeRow 12+ Winnings Explained

The TribeRow 12+ game has fourteen Main Draw divisions and fourteen Tribe Draw divisions.

The amounts published below are subject to the applicable payout rules in Section 1.12.7. Main Draw Division 1 is the Highest Prize division and is subject to Pari-Mutuel treatment. The published USDT/C 10,000,000.00 amount represents the single total Highest Prize amount available for that division in one Draw, not a separate full prize payable to each qualifying Line. If more than one valid Line qualifies for Main Draw Division 1 in the same Draw, the single total Highest Prize amount is divided equally among those qualifying Lines, including multiple qualifying Lines held by the same Account Holder. Unless expressly stated otherwise in the applicable Game Rules, Main Draw Divisions 2–14 are fixed prizes and are payable in full for each valid qualifying Line, regardless of the number of other winners in the same Draw.

A winning Line is an Account Holder’s Line that satisfies the published winning condition for the relevant Main Draw prize division.

All qualifying Lines in the same Draw share the single total Highest Prize amount equally in accordance with Section 1.12.7. For Main Draw Divisions 2–14, each valid qualifying Line receives the full fixed amount published for the applicable division, subject to the applicable Game Rules and these Terms.

The winning Tribe Draw Line is a Line randomly drawn from among the participating Lines in the relevant Main Draw that was not the Main Draw winning Line. A Line is eligible for a Tribe Draw Prize only if it participated in the relevant Main Draw and was not a Main Draw winning Line for that Draw.

Tribe Draw prizes are separate from the Main Draw Highest Prize and are governed by Section 1.12.5 and the applicable Tribe Draw prize table. Unless the applicable Game Rules expressly provide otherwise, each published Tribe Draw amount is a fixed amount payable to each valid selected Tribe Draw Line. Tribe Draw prizes are not divided among selected Lines merely because more than one Line is selected in the same Tribe Draw.

A Line may be selected only once in any individual Tribe Draw. If multiple Main Draw wins occur on the same day, each Main Draw win results in a separate Tribe Draw, and the same Line may be selected once in each separate Tribe Draw. A Line may therefore receive multiple Tribe Draw Prizes on the same day, but it cannot receive more than one selection or Prize from the same individual Tribe Draw.

1.13 Payments

TW partners with payment service providers (PSPs) that offer wallet services to TW Account Holders. This wallet holds TW’s cash funds on behalf of the Account Holders. All payments are processed through the PSP, and TW doesn’t hold any of the Account Holders’ funds. In this role, TW is an accounting party that stores transaction information but not the funds. The ‘Cash account’ balance on the TW website shows the amount held by the PSP.

Deposits and withdrawals from a TW Account must always be made through a Payment Solution Provider. Procedures, terms, availability, and duration may vary based on the time and country/network used. The latest procedures are available on the website under ‘Deposit’ or ‘Withdrawal’.

Without notification or approval from the Account Holder, TW will appoint a Payment Services Provider to act on its behalf, receive deposits, hold and manage funds, and/or expedite withdrawals.

TW doesn’t accept cash funds sent or delivered directly to the Operator or a Payment Services Provider.

TW will credit the Account Holders’ TW Account with all funds received by the Operator from or on behalf of the Account Holder, or owed by TW to the Account Holder.

Method of payment/withdrawal from/to TW Account.

Account holders can deposit funds into their TW Account from their personal wallet or a financial institution account. They can also request withdrawals to a personal financial institution account.

Account holders must provide the Operator with the correct details of their personal account for withdrawals. They must not allow third parties to use their TW Account for deposits or withdrawals.

Account holders are solely responsible for compliance with these provisions.

The TW won’t accept a wager unless there are sufficient funds or funds are provided in an approved manner.

The TW can only access the credit balance for the following purposes:

  • To debit the account for a wager or game-related amount.
  • To remit funds to the account holder upon request.
  • To pay transfer charges for deposits and withdrawals.
  • As authorised by the Regulators.

Withdrawals are made by payments to the account holder or transfers to their wallet with necessary information via email.

If an account holder wants to withdraw funds not wagered in games, the TW may refuse to transfer them to a different wallet if they suspect fraud or money laundering.

Minimum and/or maximum deposit limits may apply depending on the payment method chosen.

The TW may charge administrative costs for withdrawals.

Betting online may be illegal in the account holder’s country of residence or domicile. If so, they can’t make a deposit to place a bet.

Participating in services in a prohibited jurisdiction doesn’t affect any stakes or payments to or for TW.

TW, the regulator, or any governing authority can monitor or request to review all transactions to prevent money laundering. Suspicious transactions will be reported to the governing authorities of TW’s activities and the account holder’s relevant authorities.

Any amounts you pay to the Foundation when registering or topping up your TW Account (including any amounts described on the Website as “contributions” or “donations”) are treated as consideration for access to the Services, game participation, and any associated loyalty or reward benefits. They are not charitable donations, are not tax‑deductible contributions to a charity, and do not create any ownership, equity, or similar rights in the Foundation or its Affiliates.

1.14 Taxes

TW does not withhold or charge taxes on any payments made through the platform. You are solely responsible for determining and fulfilling any tax, reporting, or withholding obligations that may arise in your jurisdiction in connection with your use of the platform, including but not limited to income tax, capital gains tax, VAT, or any other applicable levy.

1.15 Publicity

The Foundation, as a private platform provider for its Account Holders, doesn’t automatically share information with outsiders. In legal proceedings, the TW may be forced to disclose some information.

The TW keeps all Account Holder relations confidential. However, if required by the Governing Authority, a judge, or a public authority, and/or if an Account Holder violates the TW Rules, data can be disclosed for investigation.

Account Holders have a personal account ID, a password, and can change their pre-selected username. They must keep this information confidential. If they believe others have access to it, they should contact TW’s Customer Support for a new password. TW doesn’t keep usernames or passwords. If an Account Holder loses, forgets, or shares their username and/or password, or can’t enter the Website or any Service for any reason other than a Client Application’s or Software’s error, the Operator won’t be responsible for any claims regarding that TW Account.

All communications between Account Holders and TW are retained for compliance with accounting and finance regulations for the Account Holder’s active TW Account and for two years after deactivation or closure.

Fund deposits may sometimes be partially or fully declined due to security systems managed in collaboration with a Payment Service Provider or a Financial Institution. These systems may decline legitimate deposits but may prevent processing at a certain time. TW personnel don’t control these systems or know the reasons for any declines.

TW may request documents to verify the wallet user’s identity, authorise the use of a specific wallet, or provide other information from the Account Holder before processing deposits or withdrawals, which may cause slight delays.

It’s illegal to use or abuse errors or incompleteness on the Website, Client Application, Software, or Services. If an Account Holder detects such an error or incompleteness, they must refrain from taking advantage of it, keep it confidential, and notify TW by emailing info@tribewin.com. TW may be entitled to full compensation for all costs associated with the error or incompleteness and any harm resulting from the breach. TW reserves the right to block the Account Holder’s TW Account and freeze or subtract all or part of the TW Account balance without prior notice to cover damages suffered or envisaged.

An Account Holder’s identity will be determined based on name, email address, wallet number, and any other required identification.

Any reproduction, redistribution, reverse engineering, or decompilation of the Services or the Website is prohibited by law and may result in severe penalties.

3.2 No Warranties; Limitation of Liability

The Foundation is not responsible for connectivity limits that are outside its reasonable control. You acknowledge the inherent limitations and risks of the internet and agree that, unless otherwise provided in section 1.12.5, your sole remedy for any such issues is the refund or replay mechanisms described in these Terms.

  • The Website, Client Application, and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, the Foundation disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement, except for the specific obligations to pay correctly validated Prizes set out in these Terms.

  • Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or any non‑waivable statutory rights you may have under the laws of your country of residence.

3.3 Indemnification

You agree to protect the Foundation and its Affiliates, and others involved in creating, promoting, or making available the Website, Services, and data from any claims, damages, losses, or liabilities, including reasonable legal fees, made by third parties due to your actions on the Website or use of our Services.

3.4 Force Majeure

The Foundation shall not be held liable for any delay, failure in performance, or interruption of service due to acts of God, civil or military authority, civil unrest, war, terrorism, strikes, fires, other catastrophes, power or telecommunications failure, or any other uncontrollable cause.

3.5 Pre‑Dispute Resolution

In case of a dispute, the parties shall try to resolve the matter amicably in good faith and through informal communications prior to invoking the agreed dispute resolution framework.

3.6 Governing Law and Dispute Resolution

If the Dispute is not resolved within the 30‑day negotiation period described in section 3.5, it shall be finally resolved by arbitration as follows:

  • These Terms, the Contract, and any non‑contractual obligations arising out of or relating to them shall be governed by and construed in accordance with the laws of Costa Rica, without regard to its conflict of laws rules.
  • Any dispute, controversy, or claim arising out of or relating to these Terms, the Contract, the Website, or the Services, including any question regarding their existence, validity, or termination, shall be finally resolved by arbitration under the [ICC Rules], seated in London, and conducted in the English language.
  • The arbitral tribunal shall consist of one arbitrator, unless the value in Dispute exceeds an amount determined by the applicable rules, in which case the tribunal shall consist of three arbitrators. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.
  • Nothing in this section prevents you or us from seeking interim or conservatory measures from any competent court.

3.7 Changes to Terms

TW may amend these Terms from time to time. Any changes will be notified and made available on the Website before they take effect, to the extent required by applicable law. Continued use of the Services after the effective date of any change constitutes acceptance of the updated Terms.

3.8 No Joint Venture

No joint venture, partnership, employment, or agency relationship exists between you and TW as a result of these Terms.

3.9 DAO Governance and Community Participation

The TribeWin DAO may from time to time use on-chain voting or other mechanisms to collect community input on protocol parameters, features, or ecosystem initiatives. These mechanisms are non-binding expressions of community preference and do not obligate the Foundation to implement any specific outcome, except to the extent the Foundation expressly chooses to do so.

Holding or using TribeWin Loyalty Points, participating in governance, submitting proposals, or casting votes does not make you a partner, joint venturer, director, officer, employee, agent, or fiduciary of the Foundation or of any other participant. You do not assume any personal liability for the debts, obligations, or liabilities of the Foundation or the TribeWin DAO solely by virtue of such participation.

For the avoidance of doubt, section 3.8 (No Joint Venture) applies equally to DAO governance participation.

3.10 No Waiver

No waiver by either party of any default by the other in any provision of these Terms shall waive any continuing or future default, whether similar or different.

Notices under these Terms must be sent to the contact details published on the Website or otherwise provided by the relevant party. Notices are deemed received in accordance with the applicable notice provisions and any mandatory law.

3.13 Entire Agreement

These Terms constitute the entire agreement between you and TW with respect to your use of the Website.
